These Terms of Service are a legal agreement between You and YOUKEN GROUPS regarding the use and operation of our platform and provision of services, including digital distribution, publishing, and support services. These terms apply to all platforms, services, and websites operated by YOUKEN GROUPS, including all associated brands, subsidiaries, and future entities.
1. The Platform
You may access the services if you create an account and comply with these Terms of Service. YOUKEN GROUPS reserves the right to make any changes to the platform or services at any time, including modifications, suspensions, or discontinuations.
2. Digital Distribution Service
By using our digital distribution service, you appoint YOUKEN GROUPS as your non-exclusive agent to distribute your music to various platforms. This includes:
- The right to distribute, reproduce, advertise, and publicize your music.
- Licenses granted for the use of marketing materials provided by you.
- Retention of ownership of your music remains with you.
- YOUKEN GROUPS reserves the right to reject or remove any content that violates these terms, including content promoting discrimination, hate, or illegal activities.
3. Publishing Service
If you opt to use our publishing service, you authorize YOUKEN GROUPS to administer publishing rights and collect royalties on your behalf. Key terms include:
- Administration of copyrights and collection of royalties.
- Published compositions must remain on the platform for a minimum of 12 months.
4. Support Services
Support services are available upon request and include promotional and developmental assistance for your music. Written consent is required for specific support actions.
5. Payment Terms
- Payments are processed within 3 to 5 business days after invoice generation.
- A minimum payout threshold of $10 applies.
- Service charges, including upload fees and commission, will be deducted from your income.
6. Prohibited and Rejected Releases
YOUKEN GROUPS reserves the right to reject or remove content under the following criteria:
- Content promoting discrimination, violence, illegal activities, or infringing intellectual property rights.
- Functional music (e.g., nature sounds, ASMR) and AI-generated music may be rejected at the distributor's discretion.
7. Account Management
You are responsible for maintaining accurate information in your account and ensuring compliance with these terms. YOUKEN GROUPS may suspend or terminate your account for violations. Note:
- Income may be pooled into interest-bearing accounts without individual interest payments to users.
- Accounts inactive for more than two years may be subject to inactivity fees.
8. Liability
To the extent permitted by law, YOUKEN GROUPS is not liable for any damages arising from the use of our platform or services. You agree to indemnify YOUKEN GROUPS against any claims resulting from your breach of these terms.
9. Privacy
By using our services, you consent to the collection and use of your personal data in accordance with our Privacy Policy.
10. Governing Law
These Terms of Service are governed by the laws of Ontario, Canada. Any disputes must be resolved in the courts of Ontario.
